Terms of use

1. Intellectual Property Rights

All information and materials (including designs, text, graphics and their selection and arrangement) on the Sapphire Networks site are the copyright of Sapphire Networks or its content providers. No information or material on the Site may be copied, reproduced or downloaded without Sapphire Networks' express permission in writing.
Any use of any product name and/or service name without the prior written consent of the relevant rights holder may constitute an infringement of that rights holder's rights.

2. General Terms Applicable (including limitations on liability)

2.1 Although Sapphire Networks has taken reasonable steps to ensure that information contained on the Site is correct, it is possible the information may be incomplete, contain errors or be out of date. You should verify any information obtained from the Site before acting upon it.

2.2 Sapphire Networks cannot guarantee uninterrupted and/or reliable access to the Site and Sapphire Networks makes no guarantees whatsoever as to its operation, availability, functionality or otherwise.

2.3 Nothing on the Sapphire Networks site shall be deemed to be an offer by Sapphire Networks to provide any goods or services to you. A contract for the provision of such goods or services shall be formed only when you have placed an order, accepted Sapphire Networks' terms and conditions for the provision of such goods or services and Sapphire Networks has confirmed its acceptance of your order in writing.

2.4 To the extent permitted by applicable law, Sapphire Networks hereby disclaims any and all warranties, whether express or implied, statutory or otherwise as to the accuracy of any information contained on the Site and accordingly, Sapphire Networks shall have no liability (save in relation to death or injury arising through its negligence) for any loss or damage howsoever arising and of whatever nature incurred in the use of the Site or reliance on any information contained on it including, without limitation, any direct, indirect or consequential loss, loss of business, loss of goodwill or loss of profits.

2.5 Different limitations and exclusions of liability will apply to liability arising as a result of the provision of any goods or services by Sapphire Networks, which will be set out in Sapphire Networks' Customer Master Agreement relating to the provision of such goods or services.

3. Posting Content on Sapphire Networks site

3.1 Acceptance of Terms
Posting content (including but not limited to: (a) posting any text, photograph, graphics, video and/or audio; and (b) creating your profile) on the Site will constitute acceptance of these Terms of Use and any guidelines or “house rules” that are posted on such Sapphire Networks Site. Sapphire Networks reserves the right, at its sole discretion, to amend the Terms of Use and/or the Guidelines at any time without notice. Your continued use of the Site after any such amendment constitutes your acceptance of the new Terms of Use. You are responsible for regularly checking the Site to review any changes to the Terms of Use.

3.2 Your Account
You must provide accurate, current and complete registration information. You are fully responsible for all use of your account and for any acts that may take place using your account.

3.3 Your Conduct
By posting content on the Site, you represent, warrant and agree that: (a) you are 16 or older (and in the case of a user between the ages of 16 and 18, you have obtained the consent of your parent/guardian regarding your use of the Site); (b) no content (or part thereof) submitted by you or through your account will: (i) breach any law or encourage the commission of an illegal act; (ii) be defamatory, abusive or offensive; (iii) infringe the copyright, moral right, performing rights, rights of privacy, trade mark or other proprietary right of any third party; (iv) constitute a misuse of any confidential information of a third party; (v) contain software viruses or any other computer code, files or programs designed to affect the functionality of any computer software or hardware or telecommunications equipment; or (vi) advertise, promote or endorse any products or services; (c) in respect of images and/or audio-visual content: (i) any individual depicted in the content (or, in the case of any individual under the age of 18, the parent/guardian of such individual) has consented to the content being posted on the Sapphire Networks Site; (ii) the content has not been modified or altered in any manner so as to distort or misrepresent any individual or thing depicted in the content; (iii) the content does not contain any personal information such as a name, phone number or e-mail address; and (d) you will not impersonate any person or entity.

3.4 Your Content
Sapphire Networks reserves the right to suspend or delete without notice any content which: (a) it believes in its sole discretion to be detrimental to the enjoyment of the Site by users; (b) breaches these Terms of Use or (c) is the subject of a validly served copyright infringement notice.

3.5 Your Privacy
Sapphire Networks site is operated in accordance with Sapphire Networks' privacy policy. Without prejudice to the generality of the Privacy Policy, you acknowledge that we may disclose your content and your identity to third parties where we are required to do so by law.

3.6 Your liability for your content and/or conduct
Sapphire Networks shall not be liable for: (a) any user content posted the Site; or (b) the conduct of any user of the Site. You agree to indemnify and hold Sapphire Networks, its group undertakings, and each of their directors, officers, and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable legal fees arising out of or in connection with: (a) any content posted by you or through your account on the Site; (b) your use of the Site; or (c) any breach of these Terms of Use or of any law or the rights of any third party.

3.7 Termination
Sapphire Networks may terminate your account and/or delete any content (including but not limited to your profile) that you have posted on the Site and/or prohibit you from using or accessing the Site (or any part of the same) for any reason, at its sole discretion, with or without notice.
